North America Art Photographers Association Bylaws

I. ORGANIZATION 组织

1. 本协会名称为 “北美艺术摄影协会” ，英文缩写为NAAPA 。

The name of the organization shall be the North America Art Photographers Association. Abbreviated as NAAPA.

2. 北美艺术摄影协会是由专业的摄影工作者、业余摄影爱好者组成的非盈利性质的社会组织。本协会是与各艺术组织、摄影各界交流的桥梁和纽带，是服务于社区、增进各族裔之间了解的一个平台，是繁荣发展北美地区摄影事业的积极力量。

The North American Art Photography Association is a non-profit social organization comprised of professional and amateur photographers. The association serves as a bridge and link for exchanges with various art organizations and photography circles, a platform for serving the community and enhancing understanding among various ethnic groups, and a positive force for the prosperity and development of photography in North America.

3. 本协会坚持贴近实际、贴近生活、热爱生态和大自然的原则，提倡多样化，尊重摄影艺术规律，推崇在继承的基础上创新。

The association adheres to the principle of being close to reality, close to life, and loves ecology and nature, promotes diversification, respects photography laws, and promotes innovation based on inheritance.

4. 本协会在美国宪法和法律的范围内开展活动。

The Association operates within the bounds of the US Constitution and laws.

II. MISSIONS任务

5. 本协会为会员开展摄影创作上进行联络、协调、服务工作，发挥组织、引导和协助维权有关技术上的帮助。组织学习摄影艺术、摄影创作、摄影评奖、成果展示、学术讨论、书刊出版、会员培训、走进社区，对外交流和权益保护等项工作。

The association provides liaison, coordination, and service work for members in photographic creation, as well as technical assistance in organizing, guiding, and assisting with rights protection. Organize the study of photography art, photography creation, photography awards, achievement display, academic discussion, book publishing, membership training, entry into the community, foreign exchange and rights protection, and other work.

6. 本协会积极致力与社会各界及国际摄影组织的联系，积极推进摄影创新，发现、培养和扶持摄影人才，表彰奖励优秀摄影家和优秀摄影作品创作者。

The association is actively committed to contacting all sectors of society and international photographic organizations, actively promoting photographic innovation, discovering, cultivating, and supporting photographic talents, and commending and rewarding outstanding photographers and creators of outstanding photographic works.

III. MEMBERSHIP会员

7. 本协会实行个人会员制。 Individual membership is implemented by the association. 8. 凡摄影爱好者、赞成本协会章程、由本人提出申请，报本会审核批准并履行手续后，成为本协会会员。

All photography enthusiasts who agree with the association's bylaws may apply, report to the association for review and approval, and go through the procedures to become members of the association.

9. 本协会会员有遵守本会章程、维护本会权益、完成本会交付任务的义务。

Members of the association are required to follow the bylaws of the association, protect the rights and interests of the association, and complete the tasks assigned by the association. 10. 本协会会员免交会费，鼓励为本会捐款、捐物，本协会设专门账户进行管理。

Membership is free. Members are encouraged to make donations for the association. The organization establishes a separate account for management.

11. 本协会会员违反国家法律、或本会章程，视情节轻重，经本会理事会讨论决定，暂停会籍或开除会籍的处分。 Members of the association who violate state laws or the bylaws of the association may have their membership suspended or expulsed by the Board of Directors after discussion and decision.

12. 本协会根据条件设立分会，分会在符合总会章程条件下开展工作。

The association establishes branches in accordance with the conditions, and the branches carry out work in accordance with the conditions of the general bylaws.

IV. BOARD OF DIRECTORS 理事会

13. 本协会实行主席团管理制度，协会建立理事会工作制度，对主席团负责。理事会成员由主席团成员推荐和聘任产生。理事会成员任期二年。协会设主席一人，副主席若干人，组成管理决策机构，协会设立秘书处机构负责处理协会日常事务。秘书长由主席团成员兼任。创会主席荣退后任终身名誉主席。

The association creates a Board management system. The association's decision-making Executive Board is comprised of one chairman and several vice-chairmen. The Executive Board officers will recommend and appoint members of the Board. The contract is for two years. The association forms a secretariat committee to handle the organization's day-to-day operations. An officer of the Executive Board serves as secretary-general concurrently. After his retirement, the founding chairman will serve as honorary chairman for life.

14. 本会设顾问等荣誉职务，由主席团推举或聘请。顾问不兼任理事。

The association has honorary positions, such as consultants, that are recommended by the Executive Board officers. Consultants do not serve as directors.
